These are Vimeo, LLC’s ("Vimeo") Official Rules (the "Official Rules") of the 2012 Vimeo Festival and Awards. The Vimeo Festival and Awards celebrate the most creative and original videos online and the individuals that make them. The winner for each film category will receive a grant of U.S. $5,000 to make a new film and the overall winner will receive an additional grant of U.S. $25,000 (for a total of $30,000) to make a new film. This portion of the Vimeo Festival and Awards is referred to as the "Contest." By entering the Contest, you accept these Official Rules.

1. ELIGIBILITY.

The Contest is offered and open only to natural persons who are at least the age of majority of the jurisdiction of their residence at the time of entry. The following persons are not eligible to enter the Contest: employees of Vimeo, its parent company, and companies under common control with Vimeo; employees of vendors to Vimeo that have contracted to provide services to Vimeo in connection with the Contest; the Contest judges; and members of the households of the foregoing persons (collectively, the "Contest Parties").

Further, persons who reside in the countries to which exports or payments from the United States are banned are not eligible to participate in the Contest.

By entering, you agree to these Rules and warrant that you are eligible to enter the Contest.

THE CONTEST IS VOID WHERE PROHIBITED.

2. PROMOTIONAL PERIOD.

You must submit an audiovisual work (a "Submission") that complies with the requirements of Section 4 below between December 13, 2011 at 9:00 a.m. Eastern Time and February 20, 2012 at 11:59 p.m. Eastern Time (the "Submission Period") using the means described below. Entries will be judged between February 21, 2012 and April 30, 2012 (the "Judging Period"). Awards will be announced on or before June 7, 2012.

3. HOW TO ENTER.

You must pay an entry fee for each Submission that you submit (the "Entry Fee"). The Entry Fee is U.S. $20.00 for the general public and U.S. $5.00 for Vimeo Plus subscribers or Vimeo PRO subscribers. However, due to state contest laws, entrants who are residents of Arizona, Maryland, North Dakota, and Vermont (as evidenced by the information you provide) will be refunded in full.

THE ENTRY FEE IS OTHERWISE NON-REFUNDABLE. YOU WILL NOT BE REFUNDED FOR ANY REASON INCLUDING DISQUALIFICATION.

To enter the Contest online, you must be a member of Vimeo (to become a Vimeo member, you must register with Vimeo, which you may do at www.vimeoawards.com (the "Contest Webpage"). A Vimeo Plus or Vimeo PRO subscription is not required for participation in the Contest.

To submit your Submission, you must (1) log-in to your account on www.vimeo.com (the "Vimeo Website") or via the Contest Webpage; (2) complete the entry form on the VFA Webpage; (3) upload your Submission (or select your Submission if it is already on the Vimeo Website); (4) pay the Entry Fee using an authorized payment method; and (5) confirm your agreement to these Official Rules.

When you submit your Submission online via a new upload, the Submission will be designated "public" and will be publicly viewable unless you choose to make it private. You may choose not to publicly display your Submission by opting to make it private at the time you submit it or any time afterwards. If you submit a Submission that is already on the Vimeo Website, your privacy settings (if any) will not be changed. In the event your Submission is selected as a Semi-Finalist or Finalist, Vimeo may publicly display the Submission on the Vimeo Website.

To enter the Contest by mail or courier, you must download and complete an entry form provided on the Contest Webpage, and send it, a copy of your Submission on a CD/DVD, and a money order for the Entry Fee (cash or checks will not be accepted) to the following address:

The video file that you submit must comply with Vimeo’s recommended compression and uploading guidelines, which can be found at vimeo.com/help/compression. If your Submission is selected as a Finalist (defined in Section 8 below), you must provide a high resolution version upon Vimeo’s request.

Once you have submitted a Submission, it will not be returned. Submissions may be disqualified at any time for non-compliance with these Official Rules. Vimeo makes the final determination as to which Submissions are eligible to take part in this Contest and be considered for a prize or award. Vimeo will not notify you of any disqualification or the reasons for such disqualification.

ANY ATTEMPT TO ENTER THE CONTEST EXCEPT AS PROVIDED ABOVE IS VOID.

4. REQUIREMENTS AND JUDGING CONSIDERATIONS

5. CONTENT RESTRICTIONS.

Your Submission must comply with the content restrictions and guidelines in Vimeo’s Terms of Service (www.vimeo.com/terms). In addition and without limiting the generality of the foregoing, the Submission must also comply with the restrictions below:

You must provide any licenses, permissions, or releases to Vimeo upon request. Failure to provide such documentation or comply with any the foregoing requirements (in Vimeo’s sole determination) may result in the disqualification of your Submission.

By entering your Submission, you represent and warrant that it complies with the requirements set forth in this Section 5.

6. GRANT OF LICENSE.

As between you and Vimeo, you will own all intellectual property related to your Submission and shall retain ownership of such intellectual property.

By submitting your Submission, you grant Vimeo a non-exclusive, worldwide license to use, publicly perform, display, reproduce, transmit, sublicense, and distribute in all media formats that exist now or in the future the Submission on Vimeo in connection with (1) the Contest and the promotion of the Contest; (2) the promotion of future iterations of the Vimeo Festival and Awards; and (3) the promotion of the Vimeo Website (collectively, the "License"). The License shall commence on the date you submit your Submission to Vimeo and shall continue until April 30, 2014. You may revoke the License at any time by providing Vimeo with written notice to awards@vimeo.com, provided, however, that if your Submission is selected as a Finalist before you provide such notice, the license shall become non-revocable.

The License is in addition to any license granted by you in Vimeo’s Terms of Service. Vimeo will not use your Submission for commercial purposes without your permission except as expressly set forth above. All rights not expressly granted by you with respect to your Submission are reserved.

By entering your Submission, you represent and warrant that you have the right to grant the licenses set forth in this Section 6.

7. INDEMNIFICATION.

You shall indemnify, defend, and hold Vimeo harmless from any losses (including reasonable attorneys’ fees) arising from any third party action (a) asserting a breach by you of any representation, warranty, or obligation in these Official Rules; or (b) asserting that your Submission infringes or violates any law or any third party right, including any intellectual property right.

8. JUDGING AND AWARDS.

Vimeo will select qualified individuals to review all qualifying Submissions and create a shortlist of twelve (12) Submissions for each Category based upon the Overall Considerations and the Category Considerations. The entrant of each shortlisted Submission shall be referred to as a "Semi Finalist."

To be eligible to be a Semi Finalist, you must not have revoked the License set forth in Section 6. Upon Vimeo’s request, each Semi Finalist must provide Vimeo with any documentation reasonably requested by Vimeo (e.g., licenses, releases, photos, bios, etc.). Failure to do so in a timely manner may result in disqualification.

Each group of Semi Finalist Submissions for a particular Category will be judged by an expert panel of judges selected by Vimeo (a "Jury"). Each Jury member will assign a single score to each Semi Finalist Submission based upon the Category Considerations and the Overall Considerations. The top four (4) Semi Finalist Submissions for each Category will be deemed "Finalists." The Jury members will discuss the Finalists to determine which Finalist will be the winner of the Category. In doing so, the Jury may consider community voting and commentary on the Finalists, which shall be provided to the Jury by Vimeo. Each winning Finalist will be deemed a "Category Winner" and will be awarded a Category award (each, a "Category Prize").

A panel of judges selected by Vimeo from multiple Juries (the "Grand Jury") will discuss the Category Winners to determine the best overall Submission based upon the Overall Considerations. The person who submitted this Submission (the "Grand Prize Winner") will be awarded the "Grand Prize."

In addition, Vimeo staff will make three honorary awards: "Digital Maverick," an honorary award that recognizes pioneering spirit in the world of online video; "New Creator," an award that recognizes outstanding achievement from a creator within the past 18 months; and "Social Change," an award celebrating a film/campaign that has used the medium of film and the reach of the online community to raise awareness of an global, international, or local issue in an exceptionally creative, engaging way.

Each Category Winner and the Grand Prize Winner shall be referred to as a "Winner." The persons who receive the Digital Maverick, New Creator, and Social Change awards shall be referred to as "Honorees."

9. PRIZES.

Each Category Winner will receive a Category Prize, which is a grant of U.S. $5,000.00 to create a new film within one year. The total retail value of each Category Prize is $5,000.00.

The Grand Prize Winner will receive the Grand Prize, which is a grant of U.S. $25,000.00 to create a new film within one year. The total retail value of the Grand Prize is U.S. $25,000.00. For clarity, the Grand Prize will be made in addition to the Category Prize so that the Grand Prize Winner (who is by definition also a Category Winner) will receive a total grant of U.S. $30,000.00 to create a single new film.

Each Winner will be required to enter into an agreement with Vimeo that sets forth the terms of the grant (which shall be consistent with the terms herein). Each Winner is invited to premier his or her work at the 2014 Vimeo Festival and Awards and the Vimeo Website.

No prize transfer, assignment, or substitution by any Winner is permitted. There are no prizes associated with the awards for Digital Maverick, New Creator, or Social Change. Honorees will be presented with a trophy or other recognition that has nominal monetary value.

TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNER. If any Winner is a U.S. resident or is otherwise subject to U.S. income taxes, he or she will be required to provide Vimeo with a completed IRS Form W-9 before receiving any payment. If any Winner is a foreign resident and is not subject to U.S. incomes taxes, he or she may be required to provide Vimeo with a completed IRS Form W-8BEN and certain representations and warranties as to the location of the filming of the new work before receiving any payment.

10. RELEASES.

Vimeo may require each Winner and Honoree to complete, execute, and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release, as well as certain other documentation reasonably requested by Vimeo, within two (2) days of first attempted notification. Failure to respond to Vimeo in a timely manner or failure to return documents in a timely manner may result in disqualification with an alternate winner selected.

Where permitted by law, each Winner and Honoree agrees to grant to Vimeo and those acting pursuant to its direction or control, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, his or her name, portrait, picture, voice, likeness and biographical information as news or information and for advertising, trade and promotional purposes without additional consideration, and without notification, review, or approval.

Vimeo may require each Winner and Honoree to make publicity appearances. Failure to make such appearances or grant such rights may result in disqualification with an alternate winner or potential winner selected; and while not obligated to do so, Vimeo may in its sole discretion, bear such reasonable costs and expenses which Vimeo, in its sole discretion, deems appropriate for Winners or potential winners to appear for a presentation or other activity.

By accepting any prize or award, each Winner or Honoree agrees that any Affidavit and/or Releases, and any grant of permission to use his or her name, portrait, picture, voice, likeness and biographical information, as stated above, may be secured by Vimeo electronically, for example but not limited to, by email or by facsimile, and such secured Affidavit and/or Releases and permission will have the same force and effect as if any of them had been secured in a written document which was executed by such person.

Further, by accepting any prize or award, the each Winner and Honoree releases and agrees to hold harmless the Contest Parties from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Contest related activity, or participation in this Contest.

11. PROHIBITED CONDUCT.

Vimeo reserves the right, in its sole discretion, to disqualify any individual it finds, in its sole determination, to be tampering with the entry process or the operation of the Contest or Vimeo Website; to be in violation of Vimeo’s Terms of Service; to be acting in violation of the Official Rules; to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

Any use of robotic, automatic, macro, programmed or like entry methods will void all Submissions or votes submitted by such methods and persons using any such methods (in Vimeo’s sole determination) will be disqualified.

ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, VIMEO RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Vimeo, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Vimeo reserves the right to cancel, terminate, modify or suspend the Contest, and award the prizes from among entries received prior to such action to the extent feasible. If the Contest is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at the Contest Webpage.

12. LIMITATIONS OF LIABILITY.

Vimeo assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Vimeo is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Vimeo on account of technical problems, human error or traffic congestion on the Internet or the Vimeo Website, or any combination thereof.

Vimeo is not responsible for any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by Vimeo Website users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Contest and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site. Vimeo is not responsible for injury or damage to any person’s computer arising from or relating to participation in this Contest or viewing or downloading materials from the Vimeo Website.

IN NO EVENT WILL VIMEO OR ITS PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS CONTEST, ACCESS TO AND USE OF THE VIMEO WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE VIMEO WEBSITE, INCLUDING THE CONTEST IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 13. DISPUTES; MANDATORY ARBITRATION.

Vimeo’s decisions on all matters relating to this Contest are final and binding in all respects. In the event an entrant wins an award for a Submission that was created or submitted by more than one person, Vimeo may take any action regarding the award, in its sole discretion, including but not limited to, disqualifying the Submission outright, making the awards to one creator and not any other, making a joint award, or, in the case of a Category Prize or the Grand Prize, depositing the funds into an escrow account for the creators to decide how to resolve their dispute.

Except where prohibited, as a condition of participating in this Contest, you agree that any and all disputes which cannot be resolved between the parties (you and Vimeo), claims and causes of action arising out of or connected with this Contest, or any prizes awarded, or the determination of the Grand Prize Winner shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for exemplary, treble, punitive, incidental, or consequential damages, or any other relief, including attorneys’ fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and you waive all rights to obtain such relief. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and Vimeo in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without regard to principles of conflicts of laws, and all proceedings, including proceedings to enforce this provision, shall take place exclusively in the State of New York, County of New York. This arbitration provision shall be governed by the Federal Arbitration Act.

These Official Rules set forth the entire understanding between you and Vimeo regarding the Contest and may not be modified except in a writing signed by an authorized representative of Vimeo.

14. WINNERS LIST/RULES REQUESTS.

For names of each Winner or to request a copy of the official rules, mail a self-addressed stamped envelope indicating either "Vimeo Festival and Awards Winners List" or " Vimeo Festival and Awards Rules Request" for receipt by June 30, 2012 to Vimeo, LLC, 555 W. 18th Street, New York, NY 10011.
