بنیاد رسانه ای «ایران ندا» در 14 مرداد 1389 در سالگرد جنبش مشروطیت با هدف راه‌اندازی یک شبکه ماهواره‌ای مردمی، مستقل، تجدد‌خواه و ضد‌تبعیض اعلام موجودیت کرد. موسسان در نخستین اعلامیه خود گفته اند که پروژه‌ای را برای رسانه‌ای ایرانی و مردم-نهاد دنبال می‌کنند و به طرح و اندیشه و تلاش نمایندگانی از فعالان سیاسی و حقوق بشری، روزنامه نگاران شهروندی، چهره‌های شناخته‌شده پهنه همگانی جامعۀ ایرانی، هنرمندان و فیلم‌سازان و وبلاگ‌نویسان متکی هستند.

IraNeda is a US registered foundation which is working towards the establishment of a people-based TV. IraNeda has declared in its first statement: During the past year, the movement of the people of Iran has been associated with massive media developments. The key message of this movement is to be inclusive of all the different voices. This has led to the creation of dozens of websites, news portals and participatory and people-based media. Small ideas have brought about huge impacts. The movement of the people of Iran needs far-reaching and widely available media. A visual medium created and supported by Iranians all over the world is of urgent necessity. We have taken the preparatory steps for the establishment of a people-based medium.
