OFFICIAL RULES

NO PURCHASE NECESSARY TO PLAY OR WIN A PRIZE A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING NO SUBMISSION TO A SALES PRESENTATION REQUIRED TO ENTER

1. ELIGIBILITY: Entrants must be legal residents of CA, IL and NY who are 21 years of age or older at time of entry. Void outside CA, IL, NY and where prohibited by law.

2. SPONSOR: The Sponsor of this Contest is Citysearch, an operating entity of IAC/InterActiveCorp, (8833 Sunset Boulevard, West Hollywood, CA 90069) ("SPONSOR"). Employees of Sponsor and their subsidiaries, affiliates (including but not limited to Connected Ventures, LLC and Vimeo), divisions, advertising and promotion, fulfillment and/or judging agencies, dealers, and dealer personnel (hereinafter, "Related Entities") and their immediate families (parent, child, siblings and spouse to each) and household members of each are not eligible. Contest subject to applicable federal, state and local laws and regulations.

3. HOW TO ENTER: Contest begins at 12:00 PM Pacific Standard Time ("PST") on March 7, 2008* and ends at 11:59:59 PM PST on March 7, 2008 ("Contest Period"). To enter, complete an Entry Form available at http://www.vimeo.com/loveatfirstbite and submit a video clip not to exceed thirty (30) seconds, that demonstrates you taking a bit of your favorite food, as directed below (hereinafter, "Entry"). To submit a video, you will be required to become a member of Vimeo, provide your complete name, e-mail address, choose a password and enter your information as directed. Once you have submitted the information, you will be required to submit the following information: a) what kind of food you are taking a bite of in your video; b) the establishment you are eating it in; c) the location of that establishment (city and state) and d) the title of your video. To submit your video, you will then be required to follow the video submission procedure as follows: Click "Upload Videos" in the upper right hand corner of the page provided; a window will appear and you will be required to click the "Browse" button to browse for the video file. Select the file you want to upload and then click the "Upload Video" button. All Online Entries must be received by 11:59:59 PM PST on March 7, 2008*. Sponsor’s clock shall serve as the Official Clock for the Contest. Proof of submission does not constitute proof of receipt. Entries must comply with the following content requirements in order to be eligible for the Contest:

  • Videos must be no more than thirty (30) seconds in length; all videos must be submitted in the English language;
  • Videos submitted must not be larger than 100MB in size and must be in AVI, .MOV or MPG file format; asf, asx, avi, divx, dv, dvx, m4v, mov, mp4, mpeg, mpg, qt, wmv, 3g2, 3gp, 3ivx and 3vx are all accepted file types
  • Videos may not contain any lewd or sexually explicit suggestive content;
  • Videos may not contain any content that promotes use of tobacco, firearms/weapons, or any violent, unsafe or dangerous behavior
  • Videos may not contain any content that depicts the Sponsor in an unfavorable or disparaging manner;
  • Videos may not contain any content that is obscene, offensive, libelous, slanderous, defamatory of any group or individual and/or promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual;
  • Videos may not contain any copyrighted materials owned by others or any other material that infringes upon the intellectual property rights or other rights of any person or entity;
  • Sponsor reserves the right, at any time during the Contest Period to disqualify any entry that it believes in its sole and unfettered discretion does not meet the foregoing requirements or any other provision of these Official Rules.

You may enter more than once, however each entry must include a separate and different video. Sponsor is not responsible for Entries that are processed late or incorrectly or those that are lost or damaged due to computer or electronic malfunction or other error. Sponsor is not responsible for computer system, phone line, technical, hardware, software or program failures of any kind, lost or unavailable network connections, incomplete, garbled or delayed computer transmission or network connections that are human or technical in nature. Use of automated devices are not valid for entry. All Entries and all intellectual property rights therein, including patents, trademarks, copyrights become the property of the Sponsor and will not be returned to Entrant. By submitting an Entry, Entrants assign and agree to assign all content and information contained in such Entry, including but not limited to all intellectual property rights in such Entry, to Citysearch. No previously published videos, articles, award-winning papers, confidential information or copyrighted or trademarked intellectual property of any person or entity may be submitted nor will such a submission qualify as an Entry. By submitting an Entry, Entrant warrants and represents that the Entry is 100% original creation/work by Entrant; that use of the Entry as described herein will not violate any law or infringe upon the rights of any third party and that the Entry contains no confidential information. By entering the Contest, Entrants agree that Sponsor, and its Related Entities and assigns shall have the right to post the Entry on www.citysearch.com and www.vimeo.com for viewing by visitors to the website and to edit, modify, publish, use, reuse, not use or otherwise exploit the Entry and any material based thereon or derived there from, in any manner, for any lawful purposes whatsoever, including, without limitation, for advertising and promotional purposes in any medium (whether now or hereafter known) throughout the world in perpetuity without further permission, consideration or payment to the Entrant, except where specifically prohibited by applicable law.

4. GRAND PRIZE JUDGING CRITERIA: One (1) Grand Prize Winner (the "Grand Prize Winner") will be selected based on the following judging criteria: Originality/Creativity (0-25 points); Humor (0-25 points); Ability to make your favorite food appealing to others (0-25 points); and Stage Presence (0-25 points). The judging will be conducted under the supervision of Sponsor whose decisions are final and binding in all respects relating to the selection of the Grand Prize Winner. In the event of a tie, the tied Entrants will be re-judged by an additional judge who will serve as the tie-breaker using the same criteria as outlined herein. In the event the same entry is submitted by more than one entrant, only the first entry received will qualify. This Contest may be cancelled in the event an insufficient number of qualified Entries, as determined by the Sponsor, are received. The Grand Prize Winner will be notified by e-mail and overnight mail on or about March 21, 2008.

5. ONE (1) GRAND PRIZE: The Grand Prize consists of one (1) $1,000 American Express Gift Card (not redeemable for cash). The retail value of the Grand Prize: $1,000. Sponsor and Related Entities are not responsible for nor liable for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death arising out of any Entrant’s participating in any portion of the this Contest and/or use of The Grand Prize. No substitution, cash redemption, assignment, or transfer of The Grand Prize is permitted. Sponsor reserves the right to substitute a prize of equal or greater value in the event that the offered Grand Prize is unavailable for any reason. Grand Prize Winner is solely responsible for all federal, state, and local taxes on prize. Grand Prize will be awarded provided it is properly claimed.

6. CLAIMING PRIZES/RELEASES: The Potential Grand Prize Winner will be required to complete, execute and return an Affidavit of Eligibility, Liability and Publicity Release and any other required documents within fourteen (14) days of receipt. The Potential Grand Prize Winner will not be declared the Grand Prize Winner until he/she signs and returns the Affidavit of Eligibility (within the time period set forth above), Liability and Publicity Release and any other required documents and their Eligibility has been formally verified. If the Potential Grand Prize Winner fails to comply with the Official Rules and/or to submit required documentation within the time frame specified, the Grand Prize will be awarded to the Entrant who received the next highest scoring Entry. Eligibility, age and claims made by Grand Prize Winner are subject to verification. Sponsor and Related Entities are not responsible for fraudulent calls or e-mails sent to Entrants not authorized by Sponsor.

7. GENERAL: Contest subject to all applicable federal, state and local laws. By entering this Contest, Entrants and Grand Prize Winner (1) agree to be bound by these Official Rules; and (2) agree to release Sponsor and its Related Entities from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death arising out of participating in this Contest, or the acceptance, possession, use or misuse of the Grand Prize, and claims based on publicity rights, defamation or invasion of privacy, copyright infringement, trademark infringement or any other intellectual property right and merchandise delivery. In addition, the Grand Prize Winner consents to the use of his/her name, submitted Entry (and all contents thereof), photograph, and likeness for Sponsor’s (and its Related Entities’) advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law. The Grand Prize Winner acknowledges that the stated parties have neither made nor are responsible or liable for any representation, or guarantee, express or implied, in fact or in law, relative to the Grand Prize.

8. INTERNET: If for any reason this Contest is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. The Sponsor and its Related Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor and its Related Entities are not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Contest or downloading or uploading any materials in this Contest. Sponsor assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or for insufficient space in user’s e-mail account to receive e-mail. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at time of entry. "Authorized Account Holder" is defined as the natural person who is 21 years of age or older and who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Uses of automated devices are not valid for entry, and will be subject to immediate disqualification.

9. NAME OF GRAND PRIZE WINNER: To obtain the name of the Grand Prize Winner, (available after April 4, 2008), send a self-addressed, stamped envelope to: Citysearch "Love At First Bite" Contest Winner, 1400 Old Country Rd. – Dept. PL, Westbury, NY 11590. All such requests must be received by April 30, 2008.
