TERMS OF Agreement
WHEREAS, LLC plans to develop, produce, and create works for inclusion in the development, production, display, distribution and sale of certain motion pictures, television programming, live theater productions or other productions, in any and all media, whether known or hereinafter devised (the “Project”);
AND WHEREAS, the Parties both intend for LLC to be considered the sole author of the Works and Project for the purposes of all copyright and intellectual property issues, and for LLC to be the sole and exclusive owner of the copyright in the Works and Project; NOW THEREFORE, in consideration of the mutual promises, covenants, warranties, and other good and valuable consideration set forth herein, the Parties agree as follows:
Governing Law. This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of New York, without regard to conflicts of law principles. The parties hereto irrevocably consent to the exclusive jurisdiction of the courts of the State of New York located in New York City and the United States District Court for the Southern District of New York in connection with any action or proceeding arising out of or relating to this Agreement.
Confidentiality: Any business or creative information disclosed to Contractor by (including without limitation, sketches and drawings, puppet designs, storyboards, models, techniques, scripts, financial information, grant application materials, donor lists, etc.) shall be considered “Confidential Information.” Contractor agrees that (s)he will not divulge or make known to any person or entity any such Confidential Information without prior written consent. All such Confidential Information is exclusive property, and to the extent that it is embodied in documents or tangible devices, shall be returned to immediately upon completion of the Works or upon demand.
NOT To manufacture and distribute copies, or to license or authorize the manufacture and distribution of copies, of the Film which include the Licensed Master and Licensed Composition, NOT To perform post-production mastering alterations to the Licensed Master, Post-production mastering alterations may be, but are not limited to, compression, equalizing, limiting, normalizing, adding echo effect or any other alteration deemed necessary by Licensee to conform said Licensed Master to the Film. NOT To perform the Licensed Master and Licensed Composition in the Territory in synchronization or timed relationship to the Film in the exhibition of the Film to audiences in places where admission fees are not charged with respect to the exhibition of the Film including, without limitation, film festivals, schools, hospitals, installations, churches, and airplanes, theaters, and ships-at-sea; NOT To cause or authorize the fixing of the Licensed Master and Licensed Composition in and as part of the Film on audiovisual devices such as video cassettes, video tapes, video discs and similar audiovisual contrivances, as well as to make the Licensed Master and Licensed Composition available for electronic download or online viewing as part of the Film, NOT To use Licensor’s name, likeness, and biographical material for purposes of advertising and trade, on and in connection with the Licensed Master and Licensed Composition and Film, all as furnished by Licensor or, if not so furnished, as approved in writing by Licensor prior to use by Licensee.
Licensor’s Intellectual Property. Yvette Edery owns all right, title and interest in her image, her videos, her tutorials. By downloading them you agree not to share, distribute, copy, re-edit, or otherwise break with the terms of agreement you hereby agree to having downloaded these films.
WARRANTIES AND INDEMNIFICATION.
Indemnification. You hereby indemnify, defend and hold harmless YE from and against any loss, liability, damage, cost and expenses (including reasonable attorneys fees and court costs) arising out of any claims or suits which may be brought or made against her, by reason of any claims or violation of the foregoing warranties or representations set forth.
Benefit. This Agreement shall inure to the benefit of and be binding upon the Parties hereto and their successors and assigns.
Non-Waiver. The failure of either Party to enforce at any time any term,

Table Manners is director Rebecca Manley's first foray into the word of live action puppets. She always wanted to make something as an homage to the shows and films that inspired her as a child (from The Muppets to Labyrinth). The low budget form of Channel 4's late night arts strand Random Acts proved to be the perfect platform for experimentation.
